RAW FOOTAGE ("SHOOT & BURN") VIDEOGRAPHY & USAGE RIGHTS AGREEMENT

This Raw Footage Videography and Usage Rights Agreement (the "Agreement") is entered into as of the date of the last signature below, by and between the parties listed herein.

1. THE PARTIES

• Videographer: Soumya Ganguly, Founder – Wedding Diary Canada
• Artist/Client: Malik Scott

2. PROJECT DETAILS

• Project Description: Raw video footage capture for the music video connected to the album "Shadows in Paradise". (Shoot & Burn Only – No Editing Provided)
• Shoot Date: Thursday, June 25, 2026
• Time: 4:00 PM to 7:00 PM
• Locations:
  1. Photography Studio (Location TBD)
  2. 22 John St, Toronto, ON M9N 1J3

3. COMPENSATION & DELIVERABLES

In consideration of the services provided, and acknowledging this is a collaborative, heavily discounted arrangement (Trade for Portfolio/Quasi-TFP), the Artist agrees to pay the Videographer a flat fee of $150 CAD. Payment is due in full on or before the date of the shoot.

• Deliverables: The Videographer agrees to provide unedited, raw video files from the shoot. The Artist assumes all responsibility for post-production, editing, color grading, and audio syncing.

4. USAGE RIGHTS & LICENSING

Both parties agree to a shared rights arrangement for the raw footage and any resulting final edits, subject to the following terms:

• Artist's Rights: The Videographer grants the Artist a non-exclusive, perpetual license to edit, reproduce, distribute, and publicly display the footage across all digital, broadcast, and physical media platforms for the promotion of the album "Shadows in Paradise".
• Videographer's Rights: The Videographer retains the right to use the raw footage, as well as the Artist's final edited video, for professional portfolio, website, marketing, social media, and promotional purposes under the business name Wedding Diary Canada.

5. CREDIT & ATTRIBUTION REQUIREMENTS

As a core condition of the discounted rate and the shared usage rights granted in this Agreement, the Artist agrees to the following crediting terms:

• Online Posting: Whenever the Artist (or any representative of the Artist) posts, uploads, or shares the edited video or raw clips on social media, websites, or other digital platforms, full and visible credit for the videography must be provided.
• Format: The credit must explicitly mention Wedding Diary Canada in the caption or description of the post (e.g., "Cinematography by Wedding Diary Canada" or tag the official Wedding Diary Canada social media handles).
• Failure to provide proper attribution constitutes a breach of the licensing terms outlined in Section 4.

6. LIABILITY & INDEMNIFICATION

The Videographer will take all reasonable care in the capture and transfer of the raw footage. The Videographer's liability for any loss, damage, or failure to deliver the files due to equipment malfunction, corrupted cards, illness, or other unforeseen circumstances is limited to the return of the $150 CAD fee. The Videographer is not liable for the quality of the final edited video produced by the Artist. The Artist is responsible for securing any necessary permits or permissions for the 22 John St location.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario.
